Terms of Use

These Terms of Use ("Terms") which you are reading are a legally binding agreement by and between Coddy Inc. ("Coddy", "we" or "us") and you, a user of Coddy platform and website: www.coddy.tech (the "Service").

By registering to the Service or visiting the website (as applicable), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to any of the following, you must not access our Services. If you do not agree to accept all Terms, you must cease using and leave the Services.

IF YOU ARE AN INDIVIDUAL ENTERING INTO THESE TERMS ON BEHALF OF A LEGAL ENTITY (INCLUDING AN INSTITUTIONAL CUSTOMER, AS DEFINED BELOW), YOU HEREBY REPRESENT AND WARRANT TO US THAT YOU ARE AUTHORIZED TO ENTER INTO THESE TERMS ON BEHALF OF SUCH ENTITY AND BIND SUCH ENTITY TO THESE TERMS. IF YOU DO NOT ACCEPT ALL THE TERMS HEREIN OR ARE NOT AN AUTHORIZED REPRESENTATIVE FOR THE LEGAL ENTITY THAT WISHES TO ENTER INTO THESE TERMS, YOU MAY NOT AGREE TO THESE TERMS. IF YOU ARE ACTING AS A REPRESENTATIVE OF ANY SUCH ENTITY, “YOU” AND “USER” REFERS TO THAT ENTITY.

Coddy offers its users coding tutorial services based on lessons made by experienced instructors.

The Service is granted to you free of charge. However, Coddy reserves its right to amend these terms and to charge fees for the service in the future at its sole discretion.

Becoming an Affiliate. If you wish to join Coddy’s Affiliate Program, you may do so by applying via our online form at https://coddy.tech/affiliate.
After submitting an application to the Coddy team, Coddy will consider your application to be an affiliate, subject to the Affiliate Program Terms.

Users that wish to use the Service must register via the online form available on our website, providing only correct and accurate information.

It is your responsibility to ensure that your mobile device or computer meets all the necessary technical specifications to allow you access and use of the Services. We do not provide you with equipment to enter and/or use the Services. You are responsible for all charges collected by third parties relating to your access to and use of the Services.

Coddy cannot guarantee that the Services will always operate without interruption, delay or error. There are several factors that may affect the quality of your communications and use of the Services and lead to your inability to communicate, including without limitation your local area network, your firewall, and your public Internet. Coddy assumes no responsibility for any disruption, disruption or delay caused by any problem or discrepancy in any of these factors or other factors over which we have no control.

If you have paid for any subscription to our Services (such as Plus, Pro and Lifetime Subscription), you may cancel your subscription at any time through your account settings. Subscription refunds are available within 14 days of purchase, provided you have not accessed or used the Service at all. To request a refund, please contact us atsupport@coddy.tech. Refunds will not be issued for unused portions of any subscription periods or one-time fees (such as Tokens, Boosters, Titles, Themes and Avatars).

The rules in this policy do not derogate from any right of cancellation or refund or any other right available to you in accordance with your applicable jurisdiction or consumer protection law applicable to you.

Institutional Coddy is an additional Service that is available for schools, school districts, school systems, tutoring centers or educational institutions that purchased a commercial subscription for Institutional Coddy Service pursuant to quotation or purchase order (collectively, “Institutional Customer”). When using Institutional Coddy, your access to and use of the Service may be subject to the existence of an agreement between us and the Institutional Customer that granted you access to the Institutional Coddy features. In the event of a conflict between the terms of our agreement with the applicable Institutional Customer and these Terms, the provisions of our agreement with the applicable Institutional Customer shall prevail to the extent it specifically references the relevant sections of these Terms.

Institutional Coddy includes additional school-oriented features for teachers and students, with different privileges. The following terms and conditions will apply for subscriptions provided to Institutional Customers as part of the applicable quotation or purchase order:

• Each Institutional Customer must designate at least one teacher that will be responsible for managing the applicable Institutional Customer users and otherwise acting on its behalf in connection with the Institutional Customer subscription to the Service. Each teacher may manage the Institutional Customer’s users’ access to the Service or control, remove or otherwise modify the Institutional Customer’s user’s activities on the Service.
• The teacher is responsible for determining who may be assigned a user account, making it a student account, as part of the applicable Institutional Customer’s subscription to the Service and the privileges of each user account of the Institutional Customer. If you are a teacher, you represent and warrant that you are authorized to act on behalf of the Institutional Customer in connection with the management of the Institutional Customer’s users and use of the Service.
• If you are a student, your access to and use of the Service requires that the applicable teacher assign you or instruct us to assign your user account to use Institutional Coddy.
• All access to and use of the Institutional Coddy by any Institutional Customer and any of its users is subject to the fees, usage restrictions and other terms detailed in the quotation or purchase order.

By accepting our quotation or purchase order as may be available through our website, you (i) agree to purchase the selected subscription to Institutional Coddy as detailed in the quotation or purchase order, and (ii) acknowledge that you have reviewed and accepted the applicable quotation or purchase order, including, the subscription fees and other terms of your subscription to Institutional Coddy selected pursuant to the quotation or purchase order.

Your subscription to Institutional Coddy will remain in effect for the subscription cycle specified in the quotation or purchase order. You may not terminate your subscription during the cycle, and no refund will be provided for the unused portion of any subscription cycle.

Subject to these Terms and the timely payment of the Institutional Coddy subscription fees, we hereby grant you a worldwide, limited, revocable, non-exclusive, non-sub-licensable, non-transferable, and non-assignable right (other than as permitted by assigning user accounts for students by the teacher), during the term of the applicable Institutional Customer’s subscription to Institutional Coddy or until termination of these Terms or the applicable user account, to use Institutional Coddy in accordance with these Terms.

Your access to and use of Institutional Coddy features is subject to the Institutional Customer's payment of the applicable subscription fees set forth in the quotation or purchase order (as applicable) and the following terms and conditions:

• Unless otherwise set forth in your quotation or purchase order, we will invoice the Institutional Customer for the subscription fees in advance of each subscription cycle, and it will be required to pay 30 days from the invoice date.
• We reserve the right to change subscription fees or any additional applicable fees before a renewal cycle. The updated fees apply only if you accept the new quotation or purchase order.
• All subscription fees are chargeable in USD. Taxes may apply. To the extent the Institutional Customer is tax-exempt, it must provide valid documentation.
• If you fail to settle your payments that are due, we may discontinue and block your and your users' access to Institutional Coddy.

Coddy will not change how data is collected, used, or shared under these Terms for Institutional Coddy in any way without advance notice to and consent from the Institutional Customer.

Coddy may refuse to grant access to the Services or suspend or terminate your Account without notice, upon any suspicion that these Terms have been infringed, unlawful or improper use of your account, or unlawful or inappropriate use of the Services, as defined below, or in products or intellectual property of Coddy, as determined by Coddy at its sole discretion. If you are an Institutional Customer, termination will not relieve you of the obligation to pay any fees payable prior to termination.

You agree to use the Service in accordance with all applicable laws and shall not use it for any purpose other than that which is intended. Without limiting the foregoing, you shall not: (i) send or upload to the Service spam or unsolicited messages; (ii) upload infringing, obscene, threatening, libelous, or unlawful material; (iii) upload or store material containing viruses or harmful code; (iv) interfere with or disrupt the integrity or performance of the Service; or (v) attempt to gain unauthorized access to the Service or its data.

WE MAY EMPLOY TECHNOLOGICAL MEASURES TO DETECT AND PREVENT FRAUDULENT OR ABUSIVE USE OF THE SERVICE.

We respect your privacy. Please refer to our Privacy Policy to review the terms governing how we manage, collect, store, and use the information you provide us in connection with our Service.

All copyrights and intellectual property in connection with the Services, including information, content, data, trademarks, presentation, and design, are the sole property of Coddy or third parties who have permitted Coddy to use them. You may not copy, distribute, reproduce, sell, translate or otherwise perform any kind of action in any text, image, trademark, or other information appearing on the Service.

YOU AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE EXTENT PERMITTED BY LAW, CODDY AND ITS AFFILIATES MAKE NO WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL CODDY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFITS OR DATA. THE MAXIMUM LIABILITY OF CODDY IN ALL CASES SHALL BE LIMITED TO US $50.

You agree to indemnify and hold Coddy, its directors, officers, agents, contractors, partners and employees harmless from any liability or damages arising from: (i) your use of the Service; (ii) your violation of these Terms; (iii) your infringement of third-party rights; or (iv) any claim related to content you submit or share.

You may access third-party services, content, or links ("Third Party Materials") through the Service. These are not under Coddy’s control, and Coddy assumes no liability for your use or reliance on them. You may only use Third Party Materials as permitted by their respective owners.

Governing Law. By using or visiting the Service, you agree that the laws of the State of New York, regardless of conflict of law rules, govern these Terms. Any dispute shall be heard exclusively by a competent court located in the State of New York.

No Waiver. Any non-enforcement by Coddy of any provision under these Terms shall not constitute a waiver of future enforcement. If a court finds any provision invalid, the rest shall remain in force.

Minors. If you are under the age of 13, you may not use the Service. By using, accessing, or registering with the Service, you declare that you are 13 or older. Additional age restrictions may apply in your country.

Coddy reserves the right, at its sole discretion, to modify these Terms at any time. Continued use of the Services after modification constitutes acceptance of the revised Terms.
