Terms of Use

These Terms of Use ("Terms") which you are reading are a legally binding agreement by and between Coddy Inc. ("Coddy", "we" or "us") and you, a user of Coddy platform, services and website: www.coddy.tech (accordingly the "Platform", the "Services", and the “Website”).

By registering to the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to any of the following, you must not access to our Services. If you do not agree to accept all Terms, you must cease using and leave the Services.

Coddy offers its users codding tutorial services based on lessons made by experienced instructors.

The Service is granted to you free of charge. However, Coddy reserves its right to amend these terms and to charge fees for the service in the future at its sole discretion.

Becoming a Content Creator. Users that wish to contribute to the Platform’s content, prepare virtual lessons and materials and become tutors (“Content Creator(s)”), may apply by contacting Coddy via email or the online form on the Coddy Website.
After submitting an application to the Coddy team, Coddy team will consider your application to be a Content Creator on the Platform.

The Content. If we accepted your application as a Content Creator, you shall gain access to the Content Creators channel, and start with preparing and designing codding lessons and exercises (“Content”) in accordance with our instructions, guidelines and standards provided from time to time (if any).
Content shall be uploaded to the Platform at our sole discretion. We do not warrant, and you should not expect, that all or part of the Content prepared by you will be aligned with our standards and therefore shall be available on the Platform for other users.

Consideration. In consideration of the Content prepared by the Content Creators, Content Creators shall be entitled to remuneration as follows:

• Fixed fees: Content Creator may choose to receive a one-time payment that will be calculated as a certain percentage (as agreed between the Coddy and the Content Creator) from based on different parameters including the Content Creator’s experience, the demand of the Content in the Platform, the total profits generated from the views on the Content, etc.
• Royalty Plan (recommended): Content Creator may choose to join our royalty plan offers the Content Creator recurring payments on a periodic basis. The terms of the program will be determined by Coddy at its sole discretion and will be published to the content creators.

Users that wish to use the Service must register via the online form available on our Website, providing only correct and accurate information.

It is your responsibility to ensure that your mobile device or computer meets all the necessary technical specifications to allow you access and use of the Services. We do not provide you with equipment to enter and / or use the Services. You are responsible for all charges collected by third parties relating to your access to and use of the Services.

Coddy cannot guarantee that the Services will always operate without interruption, delay or error. There are several factors that may affect the quality of your communications and use of the Services and lead to your inability to communicate, including without limitation your local area network, your firewall, and your public Internet. Coddy assumes no responsibility for any disruption, disruption or delay caused by any problem or discrepancy in any of these factors or other factors over which we have no control.

Coddy may refuse to grant access to the Services or suspend or terminate your Account without notice, upon any suspicion that these terms have been infringed, unlawful or improper use of your account, or unlawful or inappropriate use of the Services, as defined below), in products or intellectual property of Coddy, as determined by Coddy at its sole discretion.

You agree to use the Service in accordance with all applicable laws and shall not use it for any purpose other than that which is intended, all pursuant to these Terms. Without derogating from the generality of the foregoing, you agree and undertake that you shall not: (i) send or upload to the Platform spam or otherwise duplicative or unsolicited messages in violation of applicable laws; (ii) upload infringing, obscene, threatening, libelous, or otherwise unlawful material, including material that violates third party privacy rights; (iii) upload or store material containing software viruses or other harmful computer code, files, scripts, agents or programs; (iv) interfere with or disrupt the integrity or performance of the Service; or (v) attempt to gain unauthorized access to the Service, its related systems or networks or to any data stored in the Service.

WE MAY EMPLOY TECHNOLOGICAL MEASURES TO DETECT AND PREVENT FRAUDULENT OR ABUSIVE USE OF THE SERVICE.

We respect your privacy. Please refer to our Privacy Policy to review the terms and conditions governing how we manage, collect, store, and use the information you provide us in connection with our Services.

All copyrights and intellectual property in connection with the Platform and Services, of any kind, including the information, content, data, trademarks, presentation and design of the Platform and/or Services and any matter or detail relating to the Platform and/or Services are the sole property of Coddy or of third parties who have given permission to Coddy to use then. You may not copy, distribute, reproduce, sell, translate or otherwise perform any kind of action in any kind of text, image, trade mark or any other information appearing on the Platform.

You hereby grant the Platform the right to make use, edit, modify, adapt, publish, translate, distribute, etc., any content uploaded by You to the Platform by means of a free, international and unlimited time license to copy, reproduce, distribute, market, transmit to the public, process, edit, translate and use such content in any other way, at its discretion, including the site, print, digital media and other websites unless You receive our prior written approval.

YOU AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOU ARE SOLELY RESPONSIBLE FOR ANY ACTION OR OMISSION THAT MAY BE PERFORMED BY RELYING ON THE SERVICES OR THE CONTENT PRESENTED IN THEM. TO THE EXTENT PERMITTED BY LAW, CODDY, ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS (STAFF) DO NOT HAVE ANY IMPLIED WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND USE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, ACCURACY, CORRECTNESS, QUALITY, COMPATIBILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT, PUNCTUALITY, PERFECTION AND TIMING.

WITHOUT DEROGATING FROM THE FOREGOING, AND TO THE EXTENT PERMITTED BY LAW, CODDY SHALL IN NO EVENT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING ANY LOSS OF PROFITS OR LOSS OF DATA, ARISING OUT OF YOUR USE OF THE SERVICES, THE CONTENT PRESENTED TO YOU, OR OTHER MATERIALS WHICH YOU HAVE ACCESSED FROM THE SERVICES, WHETHER BASED ON WARRANTIES, CONTRACTS, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY. WITHOUT DEROGATING FROM THE FOREGOING, IN ALL CASES, THE MAXIMUM LIABILITY OF CODDY IN ALL CASES AND FOR ALL THE CAUSES WILL BE LIMITED TO US $ 50.

You agree to indemnify and hold Coddy and any of its directors, officers, agents, contractors, partners and employees from any liability for any loss, liability, claim, demand, damage, compensation, costs and expenses, including reasonable attorneys' fees related to (i) Your use and access to the Services; (ii) Your violation of any of these Terms; (iii) Your breach of any third party rights, including without limitation, copyright, intellectual property rights or privacy rights; (iv) Any claim that a user submitted by you caused damage to a third party; or (v) Any user content you have uploaded or shared in or through the Services.

You may access, review, display or use the services, resources, content, information or links of third parties to other sites or resources ("Third Party Materials") through the Services. The Third Party Materials are not under the control of Coddy and you acknowledge that you assume exclusive responsibility and assume all risks arising from the introduction, use or reliance on such Third Party Materials, Coddy shall not bear any liability incurred by you as a result of the introduction, use or reliance on Third Party Materials through the Services.

These Terms do not authorize you to use Third Party Materials and you are prohibited from using them except for the extent expressly permitted by the owner of such Third Party Materials.

Without derogating from the rights and remedies of Coddy under these Terms and / or any applicable law, Coddy will be entitled, at its sole discretion, to immediately terminate the Services or any part thereof, including termination of your account, in any case of violation or alleged violation, of any third party right in connection with Third Party Materials.

Governing Law. By using or visiting the Services, you agree that all laws of the State of Israel, regardless of conflict of law rules and regardless of your location, will govern these Terms and any dispute of any kind between you and Coddy. Any litigation or dispute between you and Coddy that will be wholly or partly derived from your use of the Services shall be heard and / or litigated exclusively by a competent court located in Tel Aviv, Israel, and you agree and waive any claim of lack of local authority and inappropriate forum regarding place and authority The jurisdiction of the courts of Tel Aviv, Israel.

No Waiver. Any non-enforcement by Coddy of any provision under these Terms shall not constitute a waiver of any further enforcement of any rights, covenant or of any other provision. If, for any reason, a competent court determines that any provision under these Terms is invalid or unenforceable, this provision shall be enforced to the extent possible and the remaining provisions of these Terms shall remain in force.

Minors. You represent that by accepting these Terms and / or by using the Services you are of the legal age (at least 18) to enter into a binding contract with Coddy.

Coddy reserves the right, at its sole discretion, to notify you that it amends or modifies these Terms at any time. Your continued use of the Services after any notified modification or amendment to these Terms constitutes your informed consent to and acceptance of the revised Terms.
